Terms of Service
These Terms of Service ("Terms") govern your access to and use of ProspectLocal (the "Service"), operated by iGuides Canada ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be a business or a person acting on behalf of a business, and able to form a binding contract, to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.
2. Subscriptions, Trials and Billing
- Paid plans are billed in advance on a recurring basis in Canadian dollars (CAD) unless stated otherwise, plus applicable taxes.
- Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
- Subscriptions renew automatically for successive periods until cancelled.
- Fees are charged through our third-party payment processors; you authorize us to charge your selected payment method.
3. Cancellation and Refunds
You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you will retain access until then. Refunds are governed by our Refund & Cancellation Policy and by applicable Ontario consumer-protection law.
4. Acceptable Use
Your use of the Service must comply with our Fair Use Policy and Anti-Spam & CASL Policy, which are incorporated into these Terms. You must not use the Service for any unlawful, infringing, or abusive purpose.
5. Your Data and Content
As between you and us, you retain ownership of the data and content you submit ("Your Data"). You grant us a limited licence to host, process, and transmit Your Data solely to provide and improve the Service. You are responsible for the legality of Your Data and how you use it.
6. Your Compliance Responsibilities
You are solely responsible for complying with all laws applicable to your use of the Service, including PIPEDA and other privacy laws, CASL and other anti-spam laws, and the terms of any third-party data sources you access through the Service (including the Google Maps Platform terms). You are responsible for obtaining any required consents before contacting individuals.
7. Intellectual Property
The Service, including its software, design, and trademarks, is owned by iGuides Canada or its licensors and is protected by law. Except for the rights expressly granted to you, we reserve all rights in the Service.
8. Third-Party Services
The Service integrates with third-party services (for example, mapping, AI, payment, and email providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any results, data, or AI-generated content will be accurate or suitable for your purposes.
10. Limitation of Liability
To the maximum extent permitted by law, iGuides Canada will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless iGuides Canada from any claims, damages, and expenses arising out of Your Data, your use of the Service, or your breach of these Terms or applicable law, including any claim that your outreach violated CASL or privacy law.
12. Termination
We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that may cause harm or legal exposure. On termination, your right to use the Service ends, and we may delete Your Data after a reasonable period.
13. Governing Law
These Terms are governed by the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute that is not subject to mandatory arbitration or small-claims procedures.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.
